What You'll Do

You will develop and implement legal strategies, processes, and frameworks for software products in our Global Supply Chain. You will structure commercial partnerships with our software suppliers, negotiate and draft agreements, and counsel business partners on a wide variety of issues. Entrepreneurial by nature, you will have an immediate impact with your analytic rigor, business discernment, and ability to get things done.

In this role, you will be joining a team of excellent team of lawyers in our Technology Acquisition group supporting our Engineering, Supply Chain and Global Procurement business units. You will:

  • Build legal frameworks and strategies for inbound software transactions

  • Structure, draft and negotiate licenses and other software transactions, both domestic and international

  • Advise software commodity managers on risk, contract structure and assist with negotiating strategies, advise business development teams on initial stages of product launch

  • Design and improve department processes to drive standard process contracting structures and negotiation strategies

  • Oversee with other legal subject matter authorities and business unit attorneys

  • Support contract negotiators on supplier-facing software transactions as a subject matter expert

  • Develop additional expertise in hardware and chip procurement transactions

Who You Are

You are an agile and talented attorney with software transaction experience to join our exciting team as Senior Corporate Counsel. You have a sharp business focus and are forward thinking, decisive, and highly team focused. You possess excellent social, communication and drafting skills and can synthesize complex issues and influence and lead across functions are required.

  • 7+ years of relevant legal, in-house and/or law firm experience

  • Ability to understand complex contractual issues, assess risk, and provide concise, plain English, business-focused legal advice

  • Extensive background in software licensing (OEM, embedded software, cloud computing, public cloud, and SaaS experience a plus), commercial transactions, drafting agreements, and intellectual property – particularly on the inbound side

  • Experience advising clients on legal and contractual issues impacting business transactions, with a track record of building business relationships and gaining the trust of internal clients

  • Excellent judgment and can craft creative solutions

  • Strong interpersonal skills and the ability to prioritize and lead several simultaneous projects under deadline pressure; ability to self-start and lead projects

  • Experience working across multiple internal business partners (e.g., finance, operations, other legal functions), across time zones and cultures

  • Extraordinary communications and interpersonal skills, critical thinking, as well as superior time-management

  • Driven innately to ask: how can we do things better?

  • JD with strong academic record required

  • CA Bar admission in good standing
